1. Introduction
1.1 These Terms and Conditions, together with your Service Confirmation and signed Consent to Treatment Form, form the legally binding agreement between you (the Client) and Rick Miller Limited (we, us).
1.2 We trade as Miller Health and as Rick Miller Dietitian. Both are trading names of Rick Miller Limited, and these Terms apply to Services supplied under either name.
1.3 By booking, paying for, or commencing any Service, you confirm that you have read, understood and accepted these Terms. They apply to the exclusion of any other terms, except those rights you have under United Kingdom (UK) consumer law that cannot lawfully be excluded.
1.4 These Terms are in two parts. Part A sets out the general terms that apply to every Service. Part B contains a Schedule for each Service, describing what it is, who delivers it, and the cancellation and other terms specific to it. Your Service Confirmation states which Schedule applies to you. Where a Schedule and Part A differ, the Schedule applies to that Service.
1.5 Consumer clients. These Terms are written for clients who contract with us as consumers, that is for purposes wholly or mainly outside any trade, business, craft or profession. Services paid for by an insurer or other funder are covered by clause 8. Services commissioned by a deputy, case manager, insurer or other organisation as the contracting party, and medico-legal and expert witness work, are not provided under these Terms (clause 17.5).
2. Definitions
Acceptance Date means the date on which we issue your Service Confirmation.
Applicable Law means the law of England and Wales and applicable professional standards, including the Data Protection Act 2018, the UK General Data Protection Regulation (UK GDPR), the Health and Care Professions Council (HCPC) Standards of Conduct, Performance and Ethics and, where a Practitioner is a member, the British Dietetic Association (BDA) Code of Professional Conduct.
Charges means the fees payable for the Services as set out in your Service Confirmation.
Consent Form means our Consent to Treatment Form, which you sign before Services commence.
Funder means an insurer, employer or other third party who has agreed to pay some or all of the Charges for Services provided to the Patient.
Patient means the person who receives the Services. This is you, unless the Services are for a child or for another adult on whose behalf you are authorised to act (clause 7).
Practitioner means Rick Miller (MSc, BSc, RD; HCPC Registration DT25651) or any HCPC-registered dietitian, qualified clinician or appropriately credentialed associate engaged by us to deliver any part of the Services.
Premises means Harley Street (Phoenix Hospital Group), King Edward VII's Hospital (Beaumont Street, London) or any other clinical location agreed in writing, or secure online consultation.
Schedule means a Schedule in Part B of these Terms.
Service means a service described in a Schedule, and Services means the dietetic and nutrition consultations, programme delivery, education, diagnostic test arrangement and interpretation, and any related advice, materials or digital tools we provide to you under a Schedule or as described in your Service Confirmation.
Service Confirmation means the email or written notice from us confirming the Service, the Schedule that applies, the Charges and booking details. For a Service booked and paid for online, your booking confirmation is your Service Confirmation.
Third-Party Provider means any laboratory, clinic, software platform or supplier engaged by you (directly or via us) to deliver elements of the Services, including diagnostic testing providers and our client platform.
3. Our Services and the Schedules
3.1 Each Service has a defined scope, duration and fee. The Schedules describe each Service. The specific deliverables, Charges, dates and the Practitioner for your Service are set out in your Service Confirmation. Where we agree a variation of a Schedule with you, for example a different number of appointments or a course for more than one Patient, your Service Confirmation records it and applies to that extent.
3.2 The Services currently offered are:
Schedule | Service | Trading name | Format | Term
1 | Consultation with Rick Miller | Miller Health | One 60-minute consultation with Rick Miller by video, with a written summary and recommended route | One-off
2 | Explore | Miller Health | Discovery and assessment, with diagnostics and written strategy | One-off programme
3 | Engage | Miller Health | Structured nutrition and lifestyle support | 12-week initial term
4 | Continuity | Miller Health | Ongoing support from a named lead dietitian, with two diagnostic rounds | Fixed 12 months, paid quarterly in advance
5 | Executive | Miller Health | Senior programme with priority access and bespoke management | Fixed 12 months
6 | Clinical Consultation | Rick Miller Dietitian | A 60-minute clinical consultation with Rick Miller, in person or by video, for adults and children | Per consultation
7 | Focused Care | Rick Miller Dietitian | Assessment and written plan, then two reviews | 8 weeks
8 | Extended Care | Rick Miller Dietitian | Assessment and written plan, then five reviews | 16 weeks
This table is for convenience only. Each Service is governed by these Terms, its Schedule and your Service Confirmation.
3.3 Suitability and clinical judgement. We may decline to provide a Service, or may recommend a different Service, if in our clinical judgement the requested Service is not suitable for the Patient, falls outside our scope of practice, or the Patient's condition requires onward referral to another regulated professional. Where this happens before the Service commences, you will receive a full refund of any sums paid.
4. Booking, Fees and Payment
4.1 Booking. A binding contract is formed when we issue your Service Confirmation and you have either (a) paid the applicable Charges, or (b) signed a payment authority for recurring or instalment payments. For a Service booked online, the contract is formed when you complete the booking and pay. Services do not commence, and we are not obliged to deliver them, until those conditions are met.
4.2 Charges. Charges are set out in your Service Confirmation. All Charges are quoted in pounds sterling and, where applicable, are inclusive of UK Value Added Tax (VAT). Where our Services qualify for medical exemption from VAT under His Majesty's Revenue and Customs (HMRC) rules, this will be reflected in your Service Confirmation. We may charge VAT in future where we become VAT-registered or where the VAT treatment of a particular Service changes; we will give you not less than 30 days' written notice of any such change.
4.3 Payment methods. Payment may be made by Stripe (debit or credit card), bank transfer, or by such other method as we accept in writing. Where a Funder pays some or all of the Charges, clause 8 also applies.
4.4 Late payment. If any sum is not paid when due, we may (a) suspend Services, including access to our client platform, until payment is received in cleared funds; (b) charge interest at 2% above the Bank of England base rate, accruing daily; and (c) recover reasonable costs of collection. Continued non-payment for more than 14 days entitles us to terminate the contract under clause 18.
4.5 Diagnostic testing and disbursements. Unless your Service Confirmation expressly includes a specific test, the cost of diagnostic testing (including bloods, DEXA, metabolic testing and any other investigations) is in addition to your Charges. We will tell you the cost and obtain your written or recorded consent before incurring any test cost on your behalf.
4.6 Price changes. We may change our published Charges from time to time. Any change will not affect Services already paid for or invoiced. For a Service with a term of more than three months or with recurring or instalment payments, we will give not less than 60 days' written notice of any change to recurring or renewal Charges, and you may cancel without penalty before the change takes effect.
5. Cooling-Off Period
5.1 You have a 14-day cooling-off period during which you may change your mind and cancel. It runs for 14 days from the day after your contract is formed under clause 4.1. This right arises under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, which apply where, as is usual with us, your contract is concluded at a distance (for example online, by email or by telephone) or away from our Premises.
5.2 We will provide the information required by those Regulations, including this cancellation right and how to exercise it, in a durable form before your contract is formed. A model cancellation form is available on request, although you may cancel by any clear statement.
5.3 To cancel, tell us by a clear statement before the cancellation period ends, for example by email to hello@millerhealth.london, giving your name, booking reference and a statement that you wish to cancel under the 14-day right.
5.4 If you want us to begin providing Services during the cancellation period, you must ask us to do so in writing, including by ticking the relevant box on your Consent Form or when you book. You acknowledge that if the Services are fully performed during the cancellation period, at your request, you will lose the right to cancel.
5.5 If you book a single consultation for a date within the cancellation period, we will ask you, when you book, to confirm that you want it to take place within that period and that you understand you will lose the right to cancel once it has been fully provided. If you do not give that confirmation, we will offer you a date after the cancellation period ends.
5.6 If you cancel after asking us to begin during the cancellation period, you must pay for the Services actually supplied up to the point of cancellation. That amount will be in proportion to the Services supplied compared with the full contract, and may include consultation time, written work and any diagnostic tests already arranged on your behalf.
5.7 Where a refund is due, we will make it without undue delay and in any event within 14 days of the day on which you tell us you are cancelling, using the same payment method you used, unless you agree otherwise. Where you asked us to begin Services during the cancellation period, we may deduct the proportionate amount payable under clause 5.6 from your refund.
6. Cancellation, Rescheduling and Refunds
6.1 The cancellation terms specific to each Service are in its Schedule. This clause applies to every Service unless its Schedule says otherwise.
6.2 Missed and late-cancelled appointments. If you need to rearrange a scheduled appointment, please give us at least 24 hours' notice and we will rearrange it within your Service where we reasonably can. If the Patient does not attend, or you cancel with less than 24 hours' notice, we may treat that appointment as delivered and it may not be rearranged, because the Practitioner's time was reserved for you. We will not do so where you were prevented from attending or giving notice by illness, emergency or other circumstances reasonably outside your control, and we will always deal with you fairly and reasonably. This does not affect your statutory rights, including any cooling-off right under clause 5.
6.3 Cancellation by us for cause. Where we cancel for clinical, safeguarding or scope-of-practice reasons, you will receive a pro-rata refund of unused Charges. Where we terminate for your material breach (for example abusive conduct, non-payment, or refusal to provide accurate health information), no refund is due in respect of the period before termination.
6.4 Pause. Where the Schedule for your Service allows it, you may, once per term and on not less than 7 days' written notice, request a pause of up to four (4) weeks for medical or compassionate reasons (such as serious illness, scheduled surgery, hospitalisation or bereavement); we may ask for reasonable evidence. During the pause, access to our client platform may be suspended and scheduled appointments are deferred. The term of your Service is extended by the duration of the pause.
6.5 Nothing in a Schedule affects any valid cooling-off right under clause 5 or any cancellation required by law.
7. Services for Children and Others
7.1 Where the Patient is under 18, the Client is the parent or guardian who books the Service and signs the Consent Form, and that person is responsible for the Charges. The child is the Patient.
7.2 Where these Terms refer to your health, medical history, appointments, results or care, they refer to the Patient's where the Patient is not you.
7.3 You confirm that you hold parental responsibility for the child, or are otherwise entitled to consent to their care, and you will tell us on the Consent Form if anyone else holds parental responsibility. Where another person with parental responsibility disagrees with the child's care, we may pause the Services until the disagreement is resolved.
7.4 We will take the child's own views into account in a way that suits their age and understanding. Where a young person is able to make their own decisions about their care, we will act in line with our professional obligations, which may include respecting their confidentiality.
7.5 Where an adult Patient is unable to make decisions about their care and you act for them under a lasting power of attorney, a deputyship order or equivalent authority, you are the Client and you contract within that authority. We may ask to see evidence of it before Services commence.
8. Insurers and Other Funders
8.1 Where a Funder pays some or all of the Charges, our client remains you (and, where the Patient is a child, the parent or guardian who signs the Consent Form). The Funder is the payer and is not our client.
8.2 Your Service Confirmation will state what the Funder has authorised, with any reference number, and any limit on the amount or number of sessions. Anything beyond that is not covered by the authorisation, and we will agree it with you separately before it is provided.
8.3 We will invoice the Funder for the authorised Services. If the Funder declines or limits cover for any reason, the Charges remain payable by you.
8.4 If the Funder withdraws or exhausts cover during a course of treatment, we will tell you as soon as we know, we will not provide further Services on the assumption that cover continues, and we will agree with you in writing whether to continue on a self-pay basis before anything further is provided.
8.5 We will share information with the Funder only with your consent, given separately on the Consent Form, and only to the extent needed for the claim. Where the Funder requires a report, we will tell you what has been asked for, and you may see the report.
9. Who Delivers Your Services
9.1 The Schedule for your Service states who delivers it. Some Services are delivered by Rick Miller personally. Others are delivered by registered dietitians and other appropriately credentialed Practitioners engaged by us, with Rick Miller providing clinical leadership and oversight of our service and the protocols behind it. Your Service Confirmation names your Practitioner. We remain responsible to you for the Services regardless of which Practitioner delivers them.
9.2 We may substitute Practitioners where reasonably necessary (including absence, capacity, or clinical fit). Where a substitution is material to your Service, we will notify you in advance and ensure handover is appropriate. Where a Schedule states that a Service is delivered by Rick Miller personally, we will not substitute another Practitioner without your agreement; if you do not agree, you may cancel and receive a refund for any part of the Service not yet provided.
9.3 All Practitioners delivering regulated dietetic services are HCPC-registered or otherwise appropriately credentialed. Where any element of the Services is non-regulated (for example coaching, education or programme administration), this will be made clear to you.
10. Diagnostic Testing and Third-Party Providers
10.1 Where diagnostic testing is included in or arranged through your Service, we act as your agent in arranging the test with a Third-Party Provider. The Third-Party Provider is responsible for the laboratory work and the accuracy of the analytical result.
10.2 Your results are considered on two levels. First, where your Service includes a medical review, that review is carried out by a registered doctor acting as an independent regulated medical practitioner, under their own professional registration, regulatory obligations, clinical indemnity and consent requirements. The doctor is responsible for the medical review and report. Second, our dietitian assesses and interprets your results, together with any medical review, and may assess, diagnose and treat any dietary and nutritional problems identified and provide the dietary and nutritional management of diagnosed conditions, within their regulated scope of practice as HCPC-registered dietitians. This is distinct from, and not a substitute for, the medical diagnosis of disease and medical treatment such as medication or surgery, which remain matters for the reviewing doctor or your own doctor.
10.3 You acknowledge that diagnostic testing and any medical review require us to share necessary personal and health information with the Third-Party Provider and the reviewing doctor for the purpose of arranging, reviewing and interpreting the test. Such sharing is governed by our Privacy Policy.
10.4 Your results, and any review or interpretation we provide, are provided for the purpose of your Service and your ongoing care. They do not replace the care of your General Practitioner (GP) or other treating clinicians. Where a result indicates a need for further medical investigation or treatment, we will tell you, recommend referral, and may, with your consent, communicate the result to your GP.
11. Digital Platforms
Some elements of your Service may be delivered via clinician-grade digital platforms (collectively, the Platforms). Use of the Platforms is subject to the relevant provider's own terms and privacy notices. We will share with the Platform provider only the information reasonably necessary to deliver the Services.
You agree to use the Platforms in accordance with their terms, to keep your login credentials secure, and not to share your account with third parties. We are not responsible for outages, downtime or feature changes within Third-Party Provider Platforms, but will use reasonable endeavours to maintain continuity of your Service.
12. Your Responsibilities
To enable us to deliver Services safely and effectively, you agree to:
(a) complete and sign the Consent Form before treatment commences;
(b) provide accurate and complete information about the Patient's medical history, medications, supplements and any conditions or symptoms relevant to their nutrition care;
(c) notify us promptly of any material change to the Patient's health, medications or circumstances during the Service;
(d) attend scheduled appointments on time, or give us as much notice as possible if you are unable to attend;
(e) follow reasonable clinical advice given, or discuss promptly with us any reason it cannot be followed;
(f) keep payment details up to date and ensure agreed payments are honoured; and
(g) treat all Practitioners and support staff with respect; threatening, abusive or discriminatory conduct is grounds for immediate termination.
13. Clinical Scope and Outcomes
13.1 Our dietitians are statutorily regulated health professionals registered with the HCPC. As registered dietitians, they assess, diagnose and treat dietary and nutritional problems, and provide the dietary and nutritional management of diagnosed medical conditions (for example coeliac disease, irritable bowel syndrome or diabetes), within their individual scope of practice, which distinguishes them from nutritionists and other advisers who are not statutorily regulated. Where your Service includes a medical review of diagnostic results, that review is a medical service provided by a registered doctor, as described in clause 10. Our Services are intended to complement the care of your GP and other treating clinicians and do not replace it: we do not make the medical diagnosis of disease or provide medical treatment such as medication or surgery, and a doctor's review under clause 10 does not create an ongoing treating-doctor relationship or replace the care of your GP. Where appropriate, we will recommend onward referral to your GP or another regulated specialist.
13.2 We use evidence-informed protocols and exercise reasonable clinical skill and care. Individual outcomes vary, and we do not warrant or guarantee any specific clinical, growth, body composition, biomarker or wellbeing result. Outcomes depend in significant part on factors outside our control, including adherence to advice, underlying health conditions, and lifestyle.
13.3 If the Patient has a serious or complex medical condition (including active cancer, severe renal or hepatic disease, an eating disorder, or insulin-dependent diabetes), you must disclose it. We may require evidence of GP or specialist involvement or agreement before commencing or continuing Services.
14. Communication and Response Times
14.1 During scheduled appointments, the Practitioner is dedicated to you. Outside appointments, our standard response window for messages and emails is two (2) UK working days. Any messaging support and response targets included in your Service are set out in its Schedule and your Service Confirmation.
14.2 We do not provide an out-of-hours or emergency service. If urgent medical assistance is needed, contact NHS 111, attend Accident and Emergency (A&E) or, in life-threatening situations, dial 999 (or the equivalent emergency service in your jurisdiction).
14.3 Recording of consultations by us. Consultations held by video call may be recorded and transcribed so that an accurate summary can be shared with you afterwards. You will always be asked before recording starts, and you may decline or ask for it to be stopped at any time without affecting your care.
15. Confidentiality and Data Protection
15.1 Rick Miller Limited is the data controller for personal data processed under both of our trading names. We are registered with the Information Commissioner's Office (ICO Registration ZA104889) and process personal data in accordance with the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations (PECR). Full details of how we collect, use, share and retain personal data are set out in our Privacy Policy at www.millerhealth.london/privacy-policy, which forms part of these Terms.
15.2 We treat all clinical information as confidential and disclose it only:
(a) to Practitioners and staff who need it to deliver the Services;
(b) to Third-Party Providers strictly to the extent necessary to deliver the Services;
(c) to a Funder, as set out in clause 8.5;
(d) to the Patient's GP or other treating clinicians where consent has been given or where we are obliged or entitled to do so under our professional standards; and
(e) where required by law, regulatory body or court order, or to protect the vital interests of the Patient or another person, including for safeguarding.
16. Intellectual Property
16.1 All materials, programmes, frameworks, written reports, recordings, content and tools created by or for us (the Materials) are protected by copyright and other intellectual property rights and remain our property (or that of our licensors). On payment of the Charges, we grant you a non-exclusive, non-transferable, revocable licence to use the Materials for your own personal, non-commercial use in connection with your Service.
16.2 You must not copy, distribute, publish, modify, sell, sublicense or share the Materials with any third party, nor use them to provide services to others, without our prior written consent. This restriction does not affect your right to discuss the Patient's care with their treating clinicians, carers or school.
16.3 Recording of consultations by you. You may make an audio recording of your own one-to-one consultation for your personal use, provided you tell the Practitioner before recording begins and the Practitioner agrees. Any such recording is for your personal, non-commercial use only. You must not publish, broadcast, share or distribute the recording, or any part of it, to any third party, and you must not use it for any commercial purpose, without our prior written consent. You must not record any other client or any group session. The Practitioner may decline to be recorded, or may pause a recording, where in their judgement recording would compromise clinical care, safeguarding or the privacy of others.
17. Liability
17.1 Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be limited or excluded.
17.2 Subject to that, our total aggregate liability to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising out of or in connection with your Service, is limited to the total Charges paid for that Service in the 12 months preceding the event giving rise to the liability.
17.3 We are not liable for any loss of income, loss of profits, loss of opportunity, loss of data or any indirect or consequential loss. We are not liable for outcomes that depend on adherence to advice, on Third-Party Providers, or on factors outside our reasonable control.
17.4 All Practitioners delivering Services to you are covered by professional indemnity insurance and public liability insurance appropriate to their scope of practice. Details and certificates are available on request.
17.5 Medico-legal, expert witness and commissioned work. Medico-legal and expert witness instructions are not provided under these Terms. They are accepted only from instructing solicitors or parties under a separate letter or terms of engagement, and in all such work the expert's overriding duty is to the court under the applicable procedural rules, which nothing in any engagement overrides. Case management and other Services commissioned by a deputy, insurer or organisation as the contracting party are provided under separate terms of engagement.
18. Suspension and Termination
We may suspend or terminate Services with immediate effect on written notice if:
(a) you fail to pay any Charges when due and the failure continues for more than 14 days;
(b) you provide materially false or misleading information about the Patient's health;
(c) continued provision of Services would be clinically inappropriate or outside our scope;
(d) you or the Patient behave abusively, threateningly or in a manner that compromises the safety or wellbeing of any Practitioner or staff;
(e) you commit a material breach of these Terms which is incapable of remedy or which you fail to remedy within 14 days of written notice; or
(f) you become insolvent, bankrupt or cease to be able to meet your debts as they fall due.
Termination does not affect rights or obligations accrued before termination. Clauses intended by their nature to survive termination (including liability, intellectual property, confidentiality and governing law) continue in force.
19. Force Majeure
We are not liable for any failure or delay in performing the Services caused by events outside our reasonable control, including illness of a Practitioner, public health restrictions, failure of utilities or telecommunications, acts of government, acts of God, or industrial action. Where such an event occurs, we will use reasonable endeavours to reschedule, substitute (subject to clause 9.2) or otherwise resume Services as soon as practicable.
20. Complaints
20.1 We take complaints seriously. In the first instance, please email hello@millerhealth.london. We will acknowledge your complaint within 5 working days and respond substantively within 20 working days.
20.2 If your complaint is not resolved to your satisfaction, you may raise a concern about a registered Practitioner with the Health and Care Professions Council (www.hcpc-uk.org), which regulates dietitians.
21. Changes to These Terms
21.1 We may update these Terms from time to time to reflect changes in law, regulation or our Services. The version in force at the date of your Service Confirmation governs your Service. For a Service with a term of more than three months, we will give not less than 30 days' notice of any material change before it applies to any further term or repeat purchase. If a material change is to your disadvantage, you may cancel the affected Services without penalty by written notice before the change takes effect.
21.2 We keep a dated copy of every previous version of these Terms, showing when it came into and went out of force. A copy of the version that applied to you is available on request.
22. Notices
Notices to us must be sent to hello@millerhealth.london or by post to our registered office. Notices to you will be sent to the email address you provided in your Consent Form or when you booked. Notice is deemed received the next working day after sending by email, or two working days after posting.
23. General
23.1 Entire agreement. These Terms, your Service Confirmation, your Consent Form and our Privacy Policy together form the entire agreement between you and us in respect of the Services. Nothing in this clause limits or excludes any liability we may have for a statement made fraudulently, or for a misrepresentation on which you reasonably relied, or any of your rights under consumer law that cannot lawfully be excluded.
23.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remainder will continue in full force and effect.
23.3 Assignment. You may not assign or transfer your rights under these Terms. We may assign our rights to any successor business, including in the context of corporate restructuring. Any such assignment will not reduce your rights under these Terms.
23.4 Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term. A Funder has no rights under these Terms.
23.5 Waiver. No failure or delay by us in enforcing any right is a waiver of that right.
24. Governing Law and Jurisdiction
These Terms are governed by the law of England and Wales. The courts of England and Wales have jurisdiction to settle any dispute arising out of or in connection with these Terms or your Services. Nothing in this clause deprives you of the protection of any mandatory consumer law of the country in which you are habitually resident, or prevents you from bringing proceedings in the courts of that country where you have a non-excludable right to do so.
Acknowledgment. By signing the Consent to Treatment Form, you confirm that you have read, understood and accepted these Terms in full. Where you book online, ticking the box at checkout confirms that these Terms and our Privacy Policy were made available to you before you paid.

PART B: SERVICE SCHEDULES
Schedule 1: Consultation with Rick Miller (Miller Health)
S1.1 What it is. A single 60-minute consultation with Rick Miller personally, held by secure video. Before it, we will ask you to complete a short health questionnaire. Within five (5) working days after it, we will send you a written summary of what we discussed and our recommended route, which may be one of our programmes, a referral elsewhere, or no further action.
S1.2 What it does not include. Diagnostic tests, follow-up consultations and ongoing support. It is not an emergency or urgent care service. Once we have sent your written summary, the Consultation is complete and we do not have an ongoing care relationship with you unless you go on to book a programme.
S1.3 Who delivers it. Rick Miller personally (clause 9.2).
S1.4 Consultation Credit. If you book and pay for Explore or Executive within 30 days after the date of your Consultation, we will credit the full Consultation fee against the price of that programme as a payment on account. The credit:
(a) does not apply to Engage or Continuity;
(b) is available once per client and cannot be transferred to anyone else;
(c) has no cash value and cannot be exchanged for money; and
(d) does not apply where the Consultation fee has been refunded to you.
Nothing in this paragraph affects your rights under clause 5.
S1.5 Cooling-off. Clause 5.5 applies to a Consultation booked within the cancellation period.
S1.6 Cancelling or rearranging.
(a) You may cancel within the cancellation period under clause 5, and you will receive a full refund if the Consultation has not yet taken place.
(b) After the cancellation period, you may rearrange your Consultation once, or cancel it for a full refund, if you give us at least 48 hours' notice.
(c) If you do not attend, or cancel with less notice than that, we may treat the Consultation as provided, because Rick Miller's time was reserved for you. We will still send you a written summary based on your questionnaire. We will not do so where you were prevented from attending or giving notice by illness, emergency or other circumstances reasonably outside your control, and in that case we will rearrange it.
Schedule 2: Explore (Miller Health)
S2.1 What it is. A discovery and assessment programme designed to evaluate your current health status, identify priority areas, and produce a personalised nutrition strategy. It typically includes an initial consultation, agreed diagnostic testing (where clinically indicated and accepted by you), interpretation, and a written summary with recommendations.
S2.2 Who delivers it. As set out in your Service Confirmation (clause 9.1).
S2.3 After Explore. You may progress to Engage, Continuity or Executive if you choose. Nothing renews or continues automatically.
S2.4 Cancelling. Once Explore Services have commenced, including any preparatory work, test arrangement or first consultation, the fee attributable to the Services already supplied or arranged is non-refundable, because that work has been carried out for you. We will refund any portion of the fee that relates to Services not yet supplied or arranged.
Schedule 3: Engage (Miller Health)
S3.1 What it is. An ongoing structured nutrition and lifestyle programme delivered over an initial term of twelve (12) weeks (the Engage Term). It includes scheduled review consultations, between-session messaging support during agreed hours with response targets set out in your Service Confirmation, programme materials, and access to our client platform.
S3.2 Who delivers it. A Practitioner named in your Service Confirmation, under Rick Miller's clinical oversight (clause 9.1).
S3.3 Renewal. Engage does not renew automatically. At the end of the Engage Term, you may choose to: (a) purchase a further 12-week Engage programme; or (b) move to Continuity or Executive. If you do not select an option before the end of the Engage Term, the programme will end and no further Charges will accrue.
S3.4 Cancelling. Engage is sold as a single fixed commitment of twelve (12) weeks at a fixed price, which both reflects the resourcing we reserve for you and is the basis on which the price is set. During the Engage Term the programme cannot be cancelled for convenience, and the Charges for the full Engage Term remain payable, save that: (a) where we are able to re-deploy reserved capacity or avoid a cost as a result of your early cancellation, we will give you credit for the amount saved; and (b) we will refund any pre-paid disbursements not yet incurred.
S3.5 Pause. Clause 6.4 applies.
Schedule 4: Continuity (Miller Health)
S4.1 What it is. An ongoing programme for a fixed period of twelve (12) months (the Continuity Term), available to clients who have completed Engage. It includes regular scheduled consultations with a named lead dietitian, two rounds of diagnostic testing with Rick Miller's interpretation and written commentary on each (the first at the start of the Continuity Term, the second in its fourth quarter, arranged once the fourth quarterly payment has been received), and between-session support as set out in your Service Confirmation.
S4.2 Who delivers it. A named lead dietitian, with Rick Miller's interpretation of the diagnostic rounds (clause 9.1).
S4.3 Payment. Continuity is paid quarterly in advance. The first quarterly payment is due when your contract is formed under clause 4.1, and each later payment is due on the first day of the next quarter of the Continuity Term, as set out in your Service Confirmation. The total of the four quarterly payments is the price of the Continuity programme.
S4.4 Renewal. Continuity does not renew automatically. At the end of the Continuity Term it continues only if you choose to purchase a further term.
S4.5 Ending Continuity.
(a) The first two quarters of the Continuity Term are a minimum commitment. If you cancel for convenience before the end of the second quarter, the payment for the second quarter remains payable, save that we will give you credit for any costs we are genuinely able to save and any reserved capacity we are able to re-deploy, and we will refund any pre-paid disbursements not yet incurred.
(b) After that, you may end Continuity at the end of the second quarter or at the end of any later quarter you have paid for, by telling us in writing at least 30 days before the next quarterly payment falls due. No further payment is then due, and Continuity ends on the last day of the quarter you have paid for.
(c) If your notice reaches us less than 30 days before the next quarterly payment falls due, Continuity ends at the end of the following quarter, and the payment for that quarter remains payable.
S4.6 Pause. Clause 6.4 applies.
Schedule 5: Executive (Miller Health)
S5.1 What it is. A senior-level programme for individuals requiring intensive, ongoing personalised support, for a fixed period of twelve (12) months (the Executive Term). It includes a defined number of consultations, priority access to the Practitioner, comprehensive diagnostic and interpretive work, written reports, and bespoke programme management. The specific deliverables, fee, inclusions and priority-access terms are set out in your Service Confirmation.
S5.2 Who delivers it. As set out in your Service Confirmation, under Rick Miller's clinical leadership (clause 9.1).
S5.3 Renewal. Executive does not renew automatically. At the end of the Executive Term, we will carry out an annual review with you, and the programme continues only if you choose to purchase a further 12-month term.
S5.4 Cancelling. Executive is sold as a single fixed twelve (12) month engagement at a fixed fee, which is the basis on which the fee is set and the capacity is reserved for you. If you cancel within an Executive Term for convenience, the balance of the fee for the 12-month term remains payable as the agreed price of that engagement, save that: (a) we will give you credit for any costs we are genuinely able to save and any reserved capacity we are able to re-deploy as a result of your early cancellation; and (b) we will refund any pre-paid disbursements not yet incurred.
S5.5 Pause. Clause 6.4 applies.
Schedule 6: Clinical Consultation (Rick Miller Dietitian)
S6.1 What it is. A 60-minute clinical consultation with Rick Miller personally, for an adult or a child, held in person at our Premises or by secure video. It may be an initial consultation or a follow-up.
S6.1A What follows. After an initial consultation, we will send you a written summary of the advice given and the plan agreed within five (5) working days. After a follow-up consultation, we will send you an updated written plan within five (5) working days where the plan has changed. With your consent, and where it is clinically appropriate, we will also write to the Patient's GP or referring clinician.
S6.2 Who delivers it. Rick Miller personally (clause 9.2).
S6.3 Each consultation is separate. Each consultation is a separate Service, booked and paid for individually, unless your Service Confirmation states otherwise. Booking one consultation does not commit you to any further consultation. The Consultation Credit in Schedule 1 does not apply to a Clinical Consultation, whether self-pay or funded.
S6.4 Cooling-off. Clause 5.5 applies to a consultation booked within the cancellation period.
S6.5 Cancelling or rearranging. Schedule 1, paragraph S1.6 (a) and (b) apply. If the Patient does not attend, or you cancel with less notice than S1.6(b) requires, clause 6.2 applies.
S6.6 Funded consultations. Where an insurer or other Funder pays, clause 8 applies.
Schedule 7: Focused Care (Rick Miller Dietitian)
S7.1 What it is. A bounded course of dietetic care for Patients with significant care needs, over eight (8) weeks from the first appointment. It comprises a 60-minute assessment, a written plan, and two (2) 30-minute review appointments by secure video. The assessment is held in person at our Premises or by secure video, as set out in your Service Confirmation.
S7.2 Who delivers it. An HCPC-registered dietitian from our team, named in your Service Confirmation, under Rick Miller's clinical oversight. Rick Miller does not personally deliver the appointments (clause 9.1).
S7.3 What it does not include. Diagnostic tests (clause 4.5), appointments beyond those listed, messaging support between appointments unless your Service Confirmation includes it, and any emergency or urgent care.
S7.4 Using your appointments. The review appointments are to be used within the eight-week period. That period is extended by any pause under clause 6.4, and by any delay caused by us. Review appointments not used within four (4) weeks after the end of the period lapse, unless the delay was caused by us or by the Patient's illness.
S7.5 After Focused Care. You may move to Extended Care or book further Clinical Consultations if you choose. Nothing renews or continues automatically.
S7.6 Cancelling.
(a) Before the assessment, you may cancel for a full refund, subject to clause 5.6 if any work has been done during the cooling-off period at your request.
(b) Once the assessment has taken place, the part of the price attributable to the assessment and written plan is non-refundable, because that work has been carried out for you. We will refund the part attributable to review appointments not yet held, as stated in your Service Confirmation.
(c) Clause 6.2 applies to a missed or late-cancelled review appointment.
S7.7 Pause. Clause 6.4 applies.
S7.8 Funded care. Where an insurer or other Funder pays, clause 8 applies.
Schedule 8: Extended Care (Rick Miller Dietitian)
S8.1 What it is. A bounded course of dietetic care for Patients with significant care needs whose clinical work needs a longer runway, over sixteen (16) weeks from the first appointment. It comprises a 60-minute assessment, a written plan, and five (5) 30-minute review appointments by secure video. The assessment is held in person at our Premises or by secure video, as set out in your Service Confirmation.
S8.2 Who delivers it. As Schedule 7, paragraph S7.2.
S8.3 What it does not include. As Schedule 7, paragraph S7.3.
S8.4 Using your appointments. As Schedule 7, paragraph S7.4, with the sixteen-week period in place of the eight-week period.
S8.5 After Extended Care. You may book a further course or Clinical Consultations if you choose. Nothing renews or continues automatically.
S8.6 Cancelling, pause and funded care. Schedule 7, paragraphs S7.6 to S7.8 apply.
